These terms of use are entered into by and between you and The New York State Society of Certified Public Accountants, a New York not-for-profit corporation and its affiliates including, but not limited to,  the Foundation for Accounting Education, Inc., Moynihan Scholarship Fund, Inc., New York State Society CPA PAC, Inc. (collectively, "NYCPA," "we," or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms of Use"), govern your access to and use of www.nysscpa.org, including any content, functionality, and services offered on or through www.nysscpa.org (the "Website"), whether as a guest or a registered user.

The New York State Society of Certified Public Accountants (“NYCPA”), a New York not-for-profit corporation, and its affiliates including, but not limited to, the Foundation for Accounting Education, Inc., Moynihan Scholarship Fund, Inc., New York State Society CPA PAC, Inc. share a commitment to data privacy and security and employ common data handling practices.  Except where otherwise indicated, this Privacy Notice describes the collective data handling practices of NYCPA and its affiliates (collectively, “NYCPA,” “us,” or “we”), including how we handle data that is collected from you and that you submit when you access this website or websites, apps, or other online media under our collective or individual operation and control (collectively, the “Site”). 

Terms & Conditions for the Online Sale of Goods and Services

These Terms are subject to change by The New York State Society of Certified Public Accountants, a New York not-for-profit corporation and its affiliates including, but not limited to, the Foundation for Accounting Education, Inc., Moynihan Scholarship Fund, Inc., New York State Society CPA PAC, Inc. (collectively, "NYCPA," "we," or "us" or “our” as the context may require) without prior written notice at any time, in our sole discretion.

These terms of use are entered into by and between you and The New York State Society of Certified Public Accountants, a New York not-for-profit corporation and its affiliates including, but not limited to,  the Foundation for Accounting Education, Inc., Moynihan Scholarship Fund, Inc., New York State Society CPA PAC, Inc. (collectively, "NYCPA," "we," or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms of Use"), govern your access to and use of www.nysscpa.org, including any content, functionality, and services offered on or through www.nysscpa.org (the "Website"), whether as a guest or a registered user. 

Please read the Terms of Use carefully before you start to use the Website. By using the Website, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, found at  https://nysscpa.org/privacy-policy  incorporated herein by reference. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Website.  

This Website is offered and available to users who are 18 years of age or older and reside in the United States. By using this Website, you represent and warrant that you are of legal age to form a binding contract with NYCPA  and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website. 

Changes to the Terms of Use 

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them.  

Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.  

Accessing the Website and Account Security 

We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Website or the entire Website. 

You are responsible for both: 

  • Making all arrangements necessary for you to have access to the Website. 
  • Ensuring that all persons who access the Website through your internet connection are aware of these Terms of Use and comply with them. 

To access the Website or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website is correct, current, and complete. You agree that all information you provide to register with this Website or otherwise, including, but not limited to, through the use of any interactive features on the Website, is governed by our Privacy Policy  (https://nysscpa.org/privacy-policy), and you consent to all actions we take with respect to your information consistent with our Privacy Policy. 

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. 

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use. 

Intellectual Property Rights 

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by NYCPA, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. 

These Terms of Use permit you to use the Website for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as follows: 

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials. 
  • You may store files that are automatically cached by your Web browser for display enhancement purposes. 
  • You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication, or distribution. 
  • If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.

If you wish to make any use of material on the Website other than that set out in this section, please address your request to membership@nysscpa.org. 

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Website in breach of the Terms of Use, your right to use the Website will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Website or any content on the Website is transferred to you, and all rights not expressly granted are reserved by NYCPA. Any use of the Website not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws. 

Trademarks 

The New York State Society of Certified Public Accounts name, the terms COAP, The CPA Journal, The Trusted Professional, Certified Public Announcements, the NYCPA logo, and all related names, logos, product and service names, designs, and slogans are trademarks of NYCPA or its affiliates or licensors. You must not use such marks without the prior written permission of NYCPA. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners. 

Prohibited Uses 

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website: 

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).  
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise. 
  • To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards set out in these Terms of Use. 
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation. 
  • To impersonate or attempt to impersonate NYCPA, a NYCPA employee, another user, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing). 
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which, as determined by us, may harm NYCPA or users of the Website, or expose them to liability. 

Additionally, you agree not to: 

  • Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Website, including their ability to engage in real time activities through the Website. 
  • Use any manual process, robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website or using any such material on the Website for the purpose of creating, developing, training, or enhancing any machine learning or generative artificial intelligence model, algorithm, or tools, or for any other purpose not expressly authorized in these Terms of Use, without our prior written consent. 
  • Use any device, software, or routine that interferes with the proper working of the Website. 
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful. 
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website.  
  • Attack the Website via a denial-of-service attack or a distributed denial-of-service attack. 
  • Otherwise attempt to interfere with the proper working of the Website. 

User Contributions 

The Website may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the Website. 

All User Contributions must comply with the Content Standards set out in these Terms of Use. 

Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Website, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose. 

You represent and warrant that:  

  • You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns. 
  • All of your User Contributions do and will comply with these Terms of Use.  

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not NYCPA, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. 

We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Website.  

Monitoring and Enforcement; Termination 

We have the right to: 

  • Remove or refuse to post any User Contributions for any or no reason in our sole discretion. 
  • Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for NYCPA. 
  • Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy. 
  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website.  
  • Terminate or suspend your access to all or part of the Website for any or no reason, including without limitation, any violation of these Terms of Use. 

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website. YOU WAIVE AND HOLD HARMLESS NYCPA AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES. 

However, we cannot review all material before it is posted on the Website and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.  

Content Standards 

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

  • Be likely to deceive any person. 
  • Promote any illegal activity, or advocate, promote, or assist any unlawful act. 
  • Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person. 
  • Impersonate any person or misrepresent your identity or affiliation with any person or organization.  
  • Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising. 
  • Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case. 

Copyright Infringement 

If you believe that any User Contributions violate your copyright, please send us a notice of copyright infringement to legal@nysscpa.org. It is the policy of NYCPA to terminate the user accounts of repeat infringers.  

Reliance on Information Posted 

The information presented on or through the Website is made available solely for general information purposes, with the understanding that we, by the provision of these materials, are not engaged in the rendering of legal, financial, or other professional advice or services. We do not warrant the accuracy, completeness, or usefulness of this information. Indemnification 

You agree to defend, indemnify, and hold harmless NYCPA, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to, your User Contributions, any use of the Website's content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Website. 

Governing Law and Jurisdiction 

All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule (whether of the State of New York or any other jurisdiction). 

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York, in each case located in the City of New York and County of New York. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. 

Waiver and Severability 

No waiver by NYCPA of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of NYCPA to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision. 

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.  

Entire Agreement 

The Terms of Use, our Privacy Policy, and Terms of Sale constitute the sole and entire agreement between you and NYCPA regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.

Except to the extent we receive your authorization or as permitted or required by applicable law, we will handle your data in accordance with the terms of the Notice in effect at the time of the collection.

We reserve the right to change this Notice at any time. In the event we make material changes to the Notice, we will provide notice through the Site. Analytical Data” means all Non-Personal Information obtained through the use of session and persistent cookies (or other tracking technologies) and server log files (including, but not limited to, (i) your search terms, (ii) your computer’s access date and time, browser, connection speed, Internet service provider, language, location, manufacturer, visit details, and operating system, and (iii) whether or not you opened e-mail messages and other electronic communications from NYCPA, and if you did, the times they were opened). 

Collected Data” means all (i) Personal Information and (ii) Non-Personal Information that is obtained from you through this Site or otherwise in the ordinary course of NYCPA’s business.  

Non-Personal Information” means all information that is not Personal Information (including, but not limited to, any Analytical Data) and that is electronically collected by NYCPA through the Site and e-mail messages and other electronic communications sent by you to NYCPA.  

Personal Information” means all information collected by NYCPA, electronically or manually, through (i) the Site, (ii) e-mail messages and other electronic communications that you may send to NYCPA, and (iii) other sources in the ordinary course of NYCPA’s business, that relates to an individual or household and that identifies, or can be used in conjunction with other readily-accessible information to identify, such individual or household (including, but not limited to, such individual’s name, e-mail, address and phone number).

D. Information We Collect 

As you are probably aware, NYCPA processes Collected Data to operate the Site, carry out our business, comply with law and other purposes described herein.  Collected Data is obtained from a variety of sources, including directly from you, indirectly through third parties and automatically through your interactions with the Site.   

  1. Information From You 

You may elect to provide NYCPA with information about yourself.  The following are the categories of Collected Data that we may receive from you and examples of specific data elements:

Any other voluntarily provided information Other information related to service preferences including, marketing and communication preferences, information related to sponsored trainings, seminars and events that you register for and/or attend, commentary on discussion boards and your feedback or survey responses where you choose to identify yourself. 

Please note that this is a non-exhaustive list of examples. NYCPA strives to adhere to the concept of data minimization and seeks to collect only the Personal Information that is (a) relevant to (i) the purposes for which it is provided by you or (ii) NYCPA’s other legitimate business purposes (including, but not limited to, marketing) or (b) required by applicable law. You do not have to provide any of the above-information to access or use many sections of the Site. At no time will we ask you to provide sensitive data (e.g., race, ethnicity, political opinions, religious/philosophical beliefs, trade union membership, physical/mental health, sexual orientation, or criminal record) in connection with your use of the Site. You are responsible for obtaining any approvals, authorizations, consents, permissions and permits that are required in connection with your providing us with any information (including, but not limited to, any information relating to a third party). 

  1. Information From Third Parties 

We may collect information about you from third parties such as from your employer, through your social media services consistent with your settings on such services, from other third-party sources that are lawfully entitled to share your data with us, including from publicly available and third-party databases or services that provide information about business people that we believe will help us identify and provide products and services that may be of interest to you. We use and share this information (and may add it to the other information we have on file for you) for the purposes described in this Notice.  

  1. Information On Your Use 

If logged in to a user account, we may collect information about you.  As further described below, this may include Analytical Data such as information about your visits and use of the Site. For example, the Site can track when you view or click on embedded content or ads. We also use cookies and internet protocol (“IP”) addresses to identify you and log your use of the Site. 

(a) Analytical Data 

NYCPA collects Analytical Information either directly or through third parties acting on our behalf. Examples of Analytical Data that may be collected includes: the number of visitors to the Site, or to sections or pages within the Site, patterns of traffic flowing through the Site, length of time spent on the Site, or in sections or pages of the Site, the other sites that refer visitors to the Site, the pages of the Site that visitors frequently use as entry and exit points, utilization of the browser and operating systems and versions used by visitors to the Site, methods used to browse away from the page, any phone number used to call our customer service number, and location information. While all of this information can be associated with the IP address your computer had while you visited the Site, NYCPA will not attempt to link this Analytical Data with an individual, or with any other information submitted through the Site or that we may otherwise store about you. We may, however, use this information to generate aggregate statistics about visitors to our Site. 

Google Analytics, Facebook Pixel, LinkedIn Insight, Sail AMX and Segment, among others, are the third parties used to collect Analytical Data.  These third parties may combine and use data collected through your use of the Site with data they collect over time and across different websites for their own purposes. (b) Cookies and Similar Technology 

We may use technologies such as cookies, pixel tags, browser analysis tools, server logs and web beacons to recognize you when you return to the Site and to help us improve the quality of our service when you visit our Site. We may also use cookies to tailor our products, services and advertising to suit your personal interests, estimate our audience size, track visits to and sales at our Site and, as applicable, to process your order, and track your status in our promotions, contests and sweepstakes. We do not link your URL or IP address to any Personal Information unless you have logged into our Site with an established user account. 

You may control cookies, including preventing or stopping the installation and storage of cookies, through your browser settings and other tools. If you do so, our Site may not function correctly. Please refer to the Help feature of your browser for information on disabling cookies. 

(c) Do Not Track 

“Do Not Track” is a privacy preference that you can set in your Internet search browser that sends a signal to a website that you do not want the website operator to track certain browsing information about you. However, because our Site is not configured to detect Do Not Track signals from a user’s computer, we are unable to respond to Do Not Track requests. 

E. How We Use Your Data 

In general, we will use Collected Data only for the purpose it was collected, or as permitted or required by law. For example, we may use your data in the following ways: 

  • To carry out our obligations arising from your membership, or any contract we may enter into with you. 
  • For listing in the membership directory or as part of a NYCPA committee 
  • To provide you with the information, products, membership services, and opportunities that you request from us or express interest in. 
  • To notify you about changes to our membership services. 
  • To organize the events that you have purchased or registered for, and to provide you with information, and other materials, relating to the content of the event, the speakers, sponsors and other attendees. 
  • To provide our magazines, newspaper, and other publications. 
  • To communicate with you, including sending messages about the availability of our Site, security, or other service-related issues. Since NYCPA endeavors to send e-mail messages and other electronic communications only to individuals desiring to receive them, you can unsubscribe to such e-mail messages or other electronic communications at any time by contacting us as set forth in the Contact Us Section below or following the “unsubscribe” directions contained in such e-mail messages or other electronic communications.  Please be aware that NYCPA is not required to honor opt-out requests for certain transactional communications, including emails that facilitate an agreed-upon commercial transaction, notify consumers about a change in terms of a membership, or provide warranty, safety or security information. 
  • To manage your user account. 
  • For our research and development efforts. We may use data, including public feedback, to conduct research and for the development of the Site and the services and products we provide to you. 
  • For other everyday business purposes such as payment processing and financial account management, product development, contract management, IT and website administration and security, fulfillment, analytics, fraud prevention, corporate governance, reporting and legal compliance. 
  • To ensure that content from our Site is presented most effectively to you and your computer. 
  • To provide you, or permit selected third parties to provide you, with information about events, products and services we offer that are similar to those that you have already purchased, provided you have not opted-out of receiving that information. For example, to send you newsletters and promotions using any communications preferences you have expressed. We may provide these communications via email, postal mail, online advertising, social media, telephone, text message (including SMS and MMS), push notifications, in-app messaging, and other means. 
  • To ensure your information is accurate and to personalize our products and services. For example, we may aggregate your Personal Information with data from third-party sources for purposes of keeping information up to date. We also rely on information from third parties in order to provide better, more personalized service. If you connect your social media services or other accounts to our services, we may use this information to make your experiences with us more personal and social, or share and use it as described elsewhere in this Notice. 
  • For advertising. We may show you ads on the Site using data from advertising technologies on the Site such as web beacons, pixels, ad tags, cookies, device identifiers; or Information from advertising partners. 
  • To measure or understand the effectiveness of advertising that we provide to you and others, and to deliver relevant advertising to you. 

F. How We Share or Disclosure Information 

In general, we will not disclose Collected Data except with your consent and as described in this Notice. However, we may disclose Collected Data for the same reasons that we may use it as described in this Notice. Moreover, because NYCPA and its affiliates share common goals, we may disclose Collected Data between and among NYCPA and its affiliates, as defined at the outset of this Privacy Notice.  As described below, this may include disclosing Collected Data to our affiliates and non-affiliated third parties, as we deem necessary to carry out the purpose for which the data was collected, i.e., to provide services. 

  1. Third Party Vendors 

We may need to use or disclose this information with a member of our group partners or third party vendors: 

  • With your consent or as you direct; 
  • To manage the Site; 
  • To improve and optimize our Site. 
  • For the performance of obligations arising from your membership, or any other contract we enter into with them or you; 
  • To provide you with products, services, or offers; 
  • To engage in marketing activities, such as sharing Personal Information with our partners to deliver advertisements to our shared customers; 
  • To enhance our services by, among other methods, obtaining assistance with providing more personalized membership services to you through analytics and other technologies (including, but not limited to, data storage, maintenance services, database management, web analytics and payment processing); 
  • To protect our interests and legal rights, such as through responding to subpoenas and defending litigation; and 
  • To protect against and prevent fraud, illegal activity (such as identifying and responding to incidents of hacking or misuse of our websites and mobile applications), and claims and other liabilities. 

We endeavor to choose affiliates and non-affiliates with similar standards to ours regarding the protection of Collected Data. 

  1. Legal Process, Security, Defense, Protection 

It is possible that we may transfer Collected Data, whether or not you furnished such Collected Data for a specific purpose, to (a) comply with, or as permitted by, any applicable law or lawful request of a government or public authority for purposes of satisfying national security, law enforcement and other similar requirements, or (b) cooperate with law enforcement, and other third parties, in investigating a claim of fraud, illegal activity or infringement of intellectual property rights.

We may disclose information about you if we have a good faith belief that disclosure is reasonably necessary to: 

  • demonstrate our relationship with you; 
  • investigate, prevent, or take action regarding suspected or actual illegal activities or to assist law enforcement agencies; 
  • protect the security or integrity of the Site; 
  • investigate and defend ourselves against any third-party allegations or claims; or 
  • protect the rights and safety of others. 
  1. Change in Control or Sale 

We can share, sell, assign, or license your personal data in connection with certain business transactions, such as a sale, acquisitions, merger, or change in control, or in preparation for any of these events. In such cases, we will take appropriate steps under the circumstances and to the extent possible to ensure that the recipient agrees to provide privacy protections substantially similar to those established by this Notice. Any entity that acquires all or substantially all of NYCPA’s assets may have the right to continue using Collected Data consistent with this Notice or as otherwise agreed to by you. 

In no case will we sell Collected Data or license it to third parties, except as set forth above or as required or permitted by law. 

G. Payment Processing 

NYCPA uses third-party vendors to process payments made by individuals for products and services.  We do not directly collect, process or retain payment information.  However, NYCPA ensures that obligations substantially no less protective than those set out in this Notice are imposed on our third party vendor by way of contract or other legally binding agreement, in particular providing sufficient guarantees that technical and organizational measures are implemented in such a manner to meet the requirements of this Notice and the relevant data protection laws.  Stripe is the third party processor used by NYCPA and its affiliate the Foundation for Accounting Education, Inc.  We recommend that you review the privacy policy of Stripe to learn more about how it handles your Personal Information at Privacy Policy

H. Safeguarding of Information 

No system for safeguarding personal or other information is 100% secure and even though we have taken steps to protect your Personal Information from being intercepted, accessed, used or disclosed by unauthorized persons, we cannot fully eliminate security risks associated with personal information. However, we take a number of steps to safeguard the security of Personal Information obtained through the Site. For example, we have implemented a security program that contains administrative, technical and physical controls that are designed to reasonably safeguard Collected Data from unlawful use, unauthorized access or disclosure. There is no guarantee that Collected Data may not be accessed, disclosed, altered, or destroyed by breach of any of our administrative, physical, or technical safeguards. Additionally, we use Secure Socket Layer (SSL) data encryption when data is transmitted over the Internet to our Site. 

How long we retain your Personal Information depends on different factors, such as whether we need the information to maintain your account, to provide you with Services, comply with legal obligations, resolve disputes or enforce other applicable contracts and policies. Professional Information about CPE credits is kept permanently for licensing purposes, or until a request is made to delete such information. 

I. Modifying Your Personal Information 

You may contact us at dataprivacy@nysscpa.org to: 

  • Update or correct your Personal Information on the Site; or 
  • Delete information from our records, subject to certain limitations. 



J. Your Choices Regarding Your Personal Information 

You can always limit the information you provide to us, but if you choose not to provide certain requested information, you may be unable to access some of the services, offers, and content on the Site. 

You may unsubscribe from any of our newsletters or other communications for which you have registered and opt out of receiving future marketing communications by following the instructions in the email to opt-out or clicking on the unsubscribe link within any email communication that you receive, by visiting your NYCPA Profile, or by sending a message to us at membership@nysscpa.org

If you opt out of receiving communications from the NYCPA or its affiliates, you will receive no notification on the group’s products or services. If you register for a product or service, you will be re-subscribed to email and hard copy communications. To unsubscribe, you may follow the methods noted above. Please be aware that NYCPA is not required to honor opt-out requests for certain transactional communications, including emails that facilitate an agreed-upon, commercial transaction, notify consumers about a change in terms of a membership, or provide warranty, safety or security information. 

If you wish to cancel your account or request that we no longer use your information to provide you with service, contact us at membership@nysscpa.org. We will retain and use your information as necessary in order to comply with our legal obligations, resolve disputes and enforce our agreements. 

K. Links to Third Party Sites 

We may provide links to websites and resources, or integrations with other applications that navigate outside of our Site. These links and integrations are provided either for information purposes or to facilitate functions like payment processing that do not exist within the Site.  You acknowledge and agree that we are not responsible for the availability of such websites and integrations.  NYCPA does not endorse and is not responsible or liable for any content, advertising, goods, services or functionality on, available through or provided by such websites or integrations. We are not responsible for the privacy or other practices of such sites and cannot guarantee the security of any of your Personal Information that you provide or is collected by such sites. We encourage you to review the privacy policies and terms and conditions that are available on those links. 

L. Information of Children 

The Site is not directed to children as the products and services on this Site are intended for persons 13 years of age and older. The Company does not knowingly collect, use or disclose any personal information from children. If we learn that Personal Data of persons less than 13 years-of-age has been collected through our Site, we will take the appropriate steps to delete this information. If you are a parent or guardian and discover that your child or a minor under the age of 13 has posted, submitted or otherwise communicated Personal Data to our Site without your consent, then you may alert us at membership@nysscpa.org so that we may take appropriate action to remove the minor’s Personal Information from our systems. You may also use web-filtering technology to supervise or limit access to the Site. 

M. Entire Agreement 

This Notice contains the entire agreement, and supersedes all prior oral and written agreements, proposals and understandings, between you and NYCPA, with respect to Collected Data.   

N. Severability 

Whenever possible, each provision of this Notice shall be interpreted to be effective and valid under applicable law.  If, however, any such provision shall be prohibited by or invalid under such law, it shall be deemed modified to conform to the minimum requirements of such law, or if for any reason it is not so modified, it shall be prohibited or invalid only to the extent of such prohibition or invalidity without the remainder of such provision, or any other provision of this Notice, being prohibited or invalid. 

O. Applicable Law 

This Notice is governed by the laws of New York State, without regard to its conflict of laws principles. Jurisdiction for any claims arising under or out of this Notice shall lie exclusively with the state and federal courts within New York. If any provision of this Notice is found to be invalid by a court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Notice, which shall remain in full force and effect.

  1. Prices and Payment Terms.  

    (a) All prices, discounts, and promotions posted on this Site are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Price increases will only apply to orders placed after such changes. Posted prices do not include taxes or charges for shipping and handling. All such taxes and charges will be added to your merchandise total and will be itemized in your shopping cart and your order confirmation email. We strive to display accurate price information, however, we may, on occasion, make inadvertent typographical errors, inaccuracies, or omissions related to pricing and availability. We reserve the right to correct any errors, inaccuracies, or omissions at any time and to cancel any orders arising from such occurrences. 

    (b) We may offer, from time to time, promotions on the Site that may affect pricing and that are governed by terms and conditions separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern.  

    (c) Terms of payment are within our sole discretion and payment must be received by us before we accept an order. We accept AMEX, Visa, MasterCard, Discover, ACH and Wife EFT for all purchases. You represent and warrant that (i) the credit card information you supply to us is true, correct, and complete, (ii) you are duly authorized to use such credit card for the purchase, (iii) charges incurred by you will be honored by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, including shipping and handling charges and all applicable taxes, if any, regardless of the amount quoted on the Site at the time of your order.  
  1. Shipments; Delivery; Title and Risk of Loss.  

    (a) We will arrange for shipment of the products to you, as applicable. Please check the individual product page for specific delivery options. You will pay all shipping and handling charges specified during the ordering process. Shipping and handling charges are reimbursement for the costs we incur in the processing, handling, packing, shipping, and delivery of your order.  

    (b) Title and risk of loss pass to you upon our transfer of the products to the carrier. Shipping and delivery dates are estimates only and cannot be guaranteed. We are not liable for any delays in shipments. 

    (c) Returns and Refunds. In our sole discretion, we will accept a return of the products for a refund of your purchase price, less the original shipping and handling costs provided such return is made within 30 days of shipment with valid proof of purchase and provided such products are returned in their original condition. To return products, you must email Customer Service at membership@nysscpa.org to obtain a Return Merchandise Authorization (“RMA”) number before shipping your product. No returns of any type will be accepted without an RMA number. 

You are responsible for all shipping and handling charges on returned items unless otherwise specified. You bear the risk of loss during shipment.  

Refunds are processed within approximately three business days of our receipt of your merchandise. Your refund will be credited back to the same payment method used to make the original purchase on the Site. WE OFFER NO REFUNDS ON ANY PRODUCTS DESIGNATED ON THIS SITE AS NON-RETURNABLE. 

  1. Manufacturer’s Warranty and Disclaimers.

    (a) IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES, LOST PROFITS OR REVENUES OR DIMINUTION IN VALUE, ARISING OUT OF, OR RELATING TO, AND/OR IN CONNECTION WITH ANY BREACH OF THESE TERMS, REGARDLESS OF (A) WHETHER SUCH DAMAGES WERE FORESEEABLE, (B) WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND (C) THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT, OR OTHERWISE) UPON WHICH THE CLAIM IS BASED. 

    (b) OUR SOLE AND ENTIRE MAXIMUM LIABILITY , FOR ANY REASON, AND YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY CAUSE WHATSOEVER, SHALL BE LIMITED TO THE ACTUAL AMOUNT PAID BY YOU FOR THE PRODUCTS AND SERVICES YOU HAVE ORDERED THROUGH OUR SITE.  

    (c) The limitation of liability set forth in Section 7(b) shall : (i) only apply to the extent permitted by law and (ii) not apply to (A) liability resulting from our gross negligence or willful misconduct and (B) death or bodily injury resulting from our acts or omissions. 
  1. Goods Not for Resale or Export. You represent and warrant that you are buying products or services from the Site for your own personal or internal use only, and not for resale or export. You further represent and warrant that all purchases are intended for final delivery to locations within the US.  
  1. Privacy. We respect your privacy and are committed to protecting it. Our Privacy Notice, https://nysscpa.org/privacy-policy, governs the processing of all personal data collected from you in connection with your purchase of products or services through the Site. 
  1. Force Majeure. We will not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in our performance under these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control, including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest, national emergency, revolution, insurrection, epidemic, lockouts, strikes or other labor disputes (whether or not relating to our workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage. 

Governing Law and Jurisdiction. This Site is operated from the US. All matters arising out of or relating to these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule (whether of the State of New York or any other jurisdiction). 

Any legal suit, action, or proceeding arising out of, or related to, these Terms or use of the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York, in each case located in the City of New York and County of New York. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. 

  1. Assignment. You will not assign any of your rights or delegate any of your obligations under these Terms without our prior written consent. Any purported assignment or delegation in violation of this Section 11 is null and void. No assignment or delegation relieves you of any of your obligations under these Terms. 
  1. No Waivers. The failure by us to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any right or provision will be effective only if in writing and signed by a duly authorized representative of NYCPA. 
  1. No Third-Party Beneficiaries. These Terms do not and are not intended to confer any rights or remedies upon any person other than you. 
  1. Notices

    (a) To You. We may provide any notice to you under these Terms by (i) sending a message to the email address you provide or (ii) by posting to the Site. Notices sent by email will be effective when we send the email and notices we provide by posting will be effective upon posting. It is your responsibility to keep your email address current. 

To Us. To give us notice under these Terms, you must contact us as follows: (i) by email to legal@nysscpa.org; or (ii) by personal delivery, overnight courier, or registered or certified mail to The New York State Society of Certified Public Accountants, Legal Department, 200 Madison Ave, 11th Floor, New York, NY 10016. We may update the email address or mailing address for notices to us by posting a notice on the Site. Notices provided by personal delivery will be effective immediately. Notices provided by email, facsimile transmission or overnight courier will be effective one business day after they are sent. Notices provided by registered or certified mail will be effective three business days after they are sent. 

  1. Severability. If any provision of these Terms is invalid, illegal, void, or unenforceable, then that provision will be deemed severed from these Terms and will not affect the validity or enforceability of the remaining provisions of these Terms. 
  1. Entire Agreement. Our order confirmation, these Terms, our Website Terms of Use, and our Privacy Notice will be deemed the final and integrated agreement between you and us on the matters contained in these Terms.
